1. Service Agreement

Welcome to EchoSphere Recording Studios, located at 121 Demonbreun Street, Nashville, TN 37203. By engaging our recording, mixing, mastering, or any other audio production services, you (hereinafter referred to as "Client") agree to be bound by these Terms and Conditions (hereinafter referred to as "Agreement"). EchoSphere Recording Studios is owned and operated by Bellweather Audio Productions, LLC. Our primary contact email is [email protected], and our phone number is 615-267-8900.

This Agreement outlines the terms under which EchoSphere Recording Studios (hereinafter referred to as "Studio") will provide services to the Client. It covers all aspects of our professional engagement, including but not limited to project scope, payment terms, intellectual property rights, and liability limitations. We strive to provide exceptional service and ensure a mutually beneficial relationship with all our clients.

This agreement becomes effective upon the Client's verbal or written confirmation to proceed with the Studio's services, or by making an initial payment. Continued use of our services constitutes ongoing acceptance of these terms.

2. User Responsibilities

The Client is responsible for:

  • Providing all necessary materials for the project, including but not limited to audio files, lyrics, sheet music, and any other reference materials in a timely manner.
  • Ensuring that all materials provided to the Studio do not infringe upon any third-party copyrights or intellectual property rights. The Client warrants that they have all necessary licenses and permissions to use the materials.
  • Reviewing and approving all mixes, masters, and other deliverables within the agreed-upon timeframe. Failure to provide timely feedback may result in delays in project completion.
  • Making all payments in accordance with the payment schedule outlined in the project quote or invoice.
  • Adhering to the Studio's policies regarding studio usage, including respecting equipment, maintaining a clean workspace, and following all safety guidelines.
  • Respecting the Studio's personnel and maintaining a professional and courteous demeanor at all times.

Failure to comply with these responsibilities may result in additional charges, project delays, or termination of the agreement.

3. Liability Limitations

To the fullest extent permitted by applicable law, the Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the services; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

The Studio's total liability to the Client for any and all claims arising out of or relating to this Agreement shall not exceed the total amount paid by the Client to the Studio for the specific services in question. The Studio is not responsible for any damage or loss of Client's original recordings or equipment left on the premises. While we take utmost care, it is the Client's responsibility to ensure the safety and insurance of their belongings.

The Studio is not liable for delays or failures in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, equipment failures, or internet outages.

4. Intellectual Property Rights

Unless otherwise agreed in writing, the Studio retains all rights to its original recordings, mixes, masters, and other intellectual property created during the provision of services. The Client is granted a non-exclusive license to use the deliverables for their intended purpose, subject to full payment of all fees. This license does not include the right to resell, sublicense, or distribute the deliverables to third parties without the Studio's prior written consent.

The Client retains all rights to their original music, lyrics, and other pre-existing intellectual property. However, by engaging the Studio's services, the Client grants the Studio a limited license to use their materials for the purpose of providing the agreed-upon services. The Studio will not claim ownership of the Client's pre-existing intellectual property.

The Studio reserves the right to use excerpts of the Client's work for promotional purposes, including but not limited to showcasing on the Studio's website, social media channels, and marketing materials. The Client may opt out of this provision by providing written notice to the Studio.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee, and the parties hereby consent to the jurisdiction of such courts.

Any disputes arising from this agreement will first be attempted to be resolved through good-faith negotiation and mediation. If these methods fail, the parties agree to binding arbitration under the rules of the American Arbitration Association.
